Terms & Conditions

1. Acceptance of Terms

By accessing or using the website 9ance.ai (including all subdomains), or by engaging 9ance Technologies Pvt Ltd (India) and 9ance Technologies LLC (USA) (collectively “9ance.ai”, “we”, “us”, “our”), you agree to be bound by these Terms & Conditions. If you do not agree, do not use our website or services.

2. Definitions

• “Services” – Custom software development, AI/ML solutions, web development, mobile app development, cloud services, UI/UX design, and any use case products (NBFC LMS, HRMS, WMS, Booking System)
• “Client” – Any individual or entity that purchases, requests, or uses our Services
• “Content” – All text, images, code, designs, and data provided by Client or generated by 9ance.ai

3. Service Delivery & Acceptance

• Work scope – All projects begin with a signed Statement of Work (SOW) or Agreement
• Timelines – Estimated dates are good faith; delays due to client feedback or third-party APIs are not our liability
• Acceptance – Client has 7 business days to test and accept deliverables; otherwise deemed accepted

4. Ownership & Intellectual Property

• Client owns – All custom code, designs, data, and IP developed exclusively for Client (upon full payment)
• 9ance.ai retains – Our proprietary frameworks, AI models, libraries, and reusable components (licensed per project)
• Third-party – Any open source or third-party tools are governed by their own licenses

5. Payment Terms

• Invoicing – 30% upfront, 40% on milestone 1, 30% on completion (or as per SOW)
• Late payments – 2% per month interest on overdue amounts
• Non-payment – We may suspend services and withhold all deliverables until paid in full

6. Confidentiality

Both parties agree to keep all business, technical, and financial information confidential for 3 years after project end.

7. Limitation of Liability

• Maximum liability – Total fees paid by Client for the specific project
• No liability – For indirect, incidental, or consequential damages (lost profits, data loss, business interruption)
• Force majeure – Acts of nature, government actions, internet outages, third-party API failures

8. Indemnification

Client agrees to indemnify 9ance.ai against claims arising from Client's content, violation of law, or infringement of third-party rights.

9. Termination

• By Client – 30 days written notice (no refund for work already done)
• By 9ance.ai – Immediate termination for non-payment or breach; Client pays for work completed

10. Governing Law & Dispute Resolution

• India Office – Governed by Indian law; courts in Bhopal, Madhya Pradesh
• USA Office – Governed by Wyoming law; arbitration in Sheridan, WY

11. Entire Agreement

These Terms + SOW supersede all prior agreements.
